These Terms of Service ("Terms") govern access to, and use of the Services (as defined below) offered by Energy Cognito LLC ("Company," "we," "us"). By accessing or using the Services on behalf of a business or other organization, you agree to these Terms.
The Company provides business-to-business software and related services, which may include applications, APIs, and supporting documentation (collectively, the "Services"). The following products are subject to these terms.
· EC IPMP (IPMP Server, IPMP Client, IPMP Databases)
· EC Curve Server (Curve Server, Curve Management Excel Add-in, Curve Server Databases)
· EC DataService (Data Service Server, Data Service Excel Add-in, Data Service GUI, Data Service Databases)
· EC Analytics Tool (EC Analytics Excel Add-in)
· EC Customer Management (Login Server and Customer Management Databases)designing and implementing cloud solutions that are tailored to meet our clients' specific needs.
You are responsible for your use of the Services and for ensuring that your Authorized Users comply with these Terms.
· Maintain the confidentiality of credentials and restrict access to Authorized Users.
· Maintain appropriate configurations and security controls in your environments.
· Use the Services in compliance with applicable laws and regulations.
· Do not misuse the Services, including by:
o Attempting unauthorized access
o Interfering with systems
o Uploading malware
o Using the Services to infringe intellectual property or privacy rights.intelligence, vulnerability management, incident response, and more.
Detailed data processing terms are covered within individual client agreements where applicable. We implement reasonable administrative, technical, and organizational safeguards designed to protect the Services and Customer Data. You are responsible for implementing appropriate safeguards in your own environments, including access control and credential management.opportunities, and provide recommendations for improvement.
Energy Cognito LLC retains all right, title, and interest in and to the Services, including all software, documentation, designs, trademarks, and related intellectual property.designing and implementing cloud solutions that are tailored to meet our clients' specific needs.
The Services are provided "as is" and "as available". We are not responsible for any indirect losses, like lost profits, lost revenue, or lost goodwill.intelligence, vulnerability management, incident response, and more.
· Termination: We may terminate access if the breach of terms is not remediated within a reasonable period after notice, or immediately where required by law or for serious security issues.
· Effect: Upon termination, your right to use the Services ends. Data handling upon termination (including any retention or deletion commitments) is governed by the applicable client agreement where one exists.opportunities, and provide recommendations for improvement.
These Terms are governed by the laws of the State of Texas, United States of America, excluding conflict of laws principles. The parties agree to the exclusive jurisdiction and venue of the courts located in the State of Texas, unless applicable law requires otherwise.designing and implementing cloud solutions that are tailored to meet our clients' specific needs.
If you have entered into a separate written agreement with the Company (including a master services agreement, subscription agreement, or similar contract) that governs your use of the Services, that agreement takes precedence over these Terms to the extent of any conflict.
